CALIFORNIA TRANSPARENCY IN SUPPLY CHAINS ACT

As a part of Saks.com LLC’s (“Saks”) commitment to legal compliance and ethical business practices, we require all partners we do business with to respect and adhere to our Supplier Code of Conduct, Saks Social Compliance Policy and Saks’ Business Principles. In accordance with the requirements of the California Transparency Supply Chain Act of 2012 (CASB 657) Saks provides the following disclosures.

Disclosure under the California Transparency in Supply Chains Act of 2012

Saks is committed to legal compliance and ethical business practices in all our operations worldwide and is firm in our resolve to do business only with those vendors, suppliers, and contractors which share in that commitment. In support of this commitment, Saks requires that all individuals or organizations who provide direct and indirect materials and services, as well as all suppliers, contractors, consultants, and other intermediaries (herein referred to as “Vendors”), agree to adhere to our Supplier Code of Conduct, Saks’ Social Compliance Policy and Saks Business Principles as a condition of the business relationship.

We require our Vendors to comply with all applicable laws and regulations mandated by the country in which they operate and the merchandise or product is manufactured, including but not limited to laws against child labor, forced labor including human trafficking, and unsafe working conditions.

Saks’ Social Compliance Policy applies to all vendors producing merchandise for Saks and adherence to the Supplier Code of Conduct is a mandatory requirement. As part of the verification of our product supply chain, all private brand vendors and import vendors are required to disclose and submit factory documentation to identify manufacturing sites.

All manufacturing sites located in medium to high-risk regions are required to submit an annual semi/un- announced third-party audit report monitoring these sites in accordance with accredited audit standards based on the United Nations Human Rights Declaration, the International Labour Organization’s (ILO) core conventions, the United Nations Framework on Business and Human Rights, and the amfori Business Social Compliance Initiative (BSCI) Code of Conduct.

Saks maintains internal procedures that apply if Vendors, factories, and/or sub-contractors fail to meet the Company standards up to and including termination of the relationship with the Vendor and/or factory. All claims related to non-compliance to the standards are discussed and reviewed by the compliance team and senior management to ensure adequate and responsible handling.

Saks expects that all employees follow the Saks Business Principles and diligently uphold the Saks Vendor Standards Manual and Saks Supplier Code of Conduct. Saks provides training to employees responsible for managing the social compliance program.
